In this edition we will be providing you an insight on how to get the commission consent to use the word “Holding” when registering a group of company in Nigeria

WRITE A LETTER OF CONSENT TO THE COMMISSION TO USE THE WORD “HOLDING” IN THE
NAME OF A COMPANY (S. 30 (2)(d), CAMA)
Requirements
a) Duly completed application form.
b) Evidence of not less than 2 subsidiary companies.
c) Statement by majority of the Directors of the proposed “Holding” company
that the company shall acquire more than half in the nominal value of the
share capital of each of the subsidiaries within 90 days of its incorporation.
d) Updated annual returns of subsidiary companies.
e) Updated section 553, CAMA filing where applicable.
Note:
Consent letter should state the names of companies to be subsidiaries of the
holding company.
